Version 1.1 · Last updated: July 2026 · Owner-approved draft (legal review pending)
1. Scope and Definitions
1.1 These General Terms and Conditions (hereinafter «Terms» or «GTC») govern the use of the platforms and services operated by Connexxa by HRIT.ch GmbH, Ruhsitzweg 12, 9000 St. Gallen, Switzerland (hereinafter «Connexxa» or «we»).
1.2 The platforms and services include in particular: (a) the website connexxa.ch, (b) the EMO platform (Event Management Office) for organizers, (c) the mobile Connexxa app for networking participants, and (d) all related features, interfaces, and services.
1.3 Definitions: «Organizer» refers to natural or legal persons who create and manage events via the EMO platform. «User» refers to natural persons who use the Connexxa app or other services. «Participant» refers to persons who attend events organized via the platform. «Content» refers to all texts, images, videos, profile information, and other materials posted by users or organizers on the platform.
1.4 By registering or using our services, you acknowledge these Terms as binding. Deviating terms of the user or organizer only apply if Connexxa has expressly agreed to them in writing.
2. Contract Formation and Registration
2.1 The use of the services requires registration. By submitting the registration form, you make a binding offer to enter into a usage agreement. The contract is concluded upon confirmation of registration by Connexxa.
2.2 Only natural persons who have reached the age of 16 are entitled to register. Legal entities are registered by an authorized natural person.
2.3 Truthful and complete information must be provided during registration. Changes must be updated without delay. Connexxa reserves the right to reject registrations without giving reasons.
2.4 Each user may only create one account. Login credentials must be kept confidential and may not be shared with third parties. The user is liable for all activities carried out through their account.
3. Service Description
3.1 EMO Platform (for Organizers): Connexxa provides organizers with a SaaS-based dashboard that includes the following features: participant management with RSVP tracking, ticketing and registration, digital check-in via QR code, agenda and speaker management, real-time analytics, push notifications, and sponsor/exhibitor management.
3.2 Connexxa App (for Users): The mobile application enables users to network at events. Features include: AI-powered matching based on goals, projects, and competencies, visual profile display, appointment scheduling, direct messaging, event information, and community features.
3.3 Connexxa is the platform operator and not the organizer of events organized via the platform. Responsibility for the execution, content, and organization of events lies solely with the respective organizer.
3.4 Connexxa endeavors to keep the services available without interruption. 100% availability cannot be technically guaranteed. Maintenance, updates, and unforeseen disruptions may lead to temporary restrictions.
4. AI-Powered Features
4.1 Connexxa uses artificial intelligence (AI) for various features, in particular for matching users, recommendations, and automated analyses.
4.2 AI-based recommendations and matching results do not constitute a guarantee for the quality or success of contacts or business relationships. They serve solely as support and are based on the data provided by users.
4.3 Connexxa is not liable for decisions that users make based on AI-powered recommendations.
4.4 The AI-powered features (e.g., profile assistance, connection suggestions, draft texts, concierge) are optional, consent-based, and can be disabled at any time. Their outputs are generated automatically, may be incomplete, outdated, or inaccurate, and do not constitute legal, financial, career, or other professional advice. Users make material decisions on their own responsibility and are expected to review the outputs.
5. Obligations of Users and Organizers
5.1 Users and organizers undertake to use the platform only within the framework of applicable law and these Terms.
5.2 The following is expressly prohibited: (a) providing false or misleading information, (b) violating the rights of third parties, in particular copyright, trademark, and personality rights, (c) distributing unlawful, offensive, discriminatory, glorifying violence, or pornographic content, (d) sending spam, unsolicited advertising, or automated messages, (e) technically manipulating, hacking, or introducing malware to the platform, (f) systematically collecting, storing, or sharing data of other users with third parties (scraping), (g) using the platform for headhunting, recruiting, or commercial outreach unless expressly provided as a feature.
5.3 Organizers warrant that their event information is correct, current, and complete. They are solely responsible for compliance with all legal requirements applicable to the event (e.g., permits, safety regulations, insurance).
5.4 Connexxa reserves the right to remove, edit, or block access to content without prior notice if a violation of these Terms or applicable law is suspected.
6. Content and Intellectual Property
6.1 Users retain all rights to their content. By posting content on the platform, the user grants Connexxa a non-exclusive, worldwide, royalty-free right to use, display, and distribute such content in connection with the operation and marketing of the platform.
6.2 The rights to the platform itself, including software, design, logos, trademarks, and databases, belong exclusively to Connexxa. Any use requires prior written permission.
6.3 AI-generated analyses and matching results are the property of Connexxa. Anonymized and aggregated data may be used by Connexxa for the further development of the services and for statistical purposes.
6.4 Users guarantee that they have the necessary rights to the content they post and that no third-party rights are infringed.
6.5 Beyond clause 6.2, the user is granted only a non-exclusive, non-transferable, non-sublicensable and revocable right to use the app as intended. All rights not expressly granted remain with Connexxa (HRIT.ch GmbH).
6.6 The user must not copy, reproduce, distribute or otherwise exploit the app or parts thereof beyond intended use, decompile, disassemble or reverse-engineer it, automatically read out content or data (scraping/crawling), or circumvent technical protection and usage restrictions, except where mandatory law exceptionally permits.
6.7 The user must not create derivative works, imitations, clones or substantially similar products of the app, individual features, the data model or the design, nor use the app, its content, structure or underlying know-how to develop, have developed, operate or market a product or service that competes with or is similar to Connexxa (including white-label or clone projects). Benchmarking, analysis or access for the purpose of imitation, and passing such findings to third parties for that purpose, are likewise prohibited. A breach may also give rise to unfair-competition claims (UWG).
6.8 Non-public information about the app (in particular unreleased features, technical details, roadmap, data model) must be kept confidential and neither exploited nor disclosed to third parties.
6.9 For each culpable breach of clauses 6.5 to 6.8, the user owes a contractual penalty of at least CHF 20,000 per breach. In the case of a gross breach, the appropriation or imitation of core functionality of the app, or the causing of material damage, the penalty is at least CHF 50,000 per breach (per commenced month for continuing breaches), irrespective of proof of damage; payment does not release the user from compliance with the breached obligation. Connexxa reserves the right to claim further damages (with the penalty credited, Art. 160 et seq. CO) and to seek immediate injunctive relief and interim measures. Clauses 6.2 and 6.5 to 6.9 survive termination of the use relationship.
7. Prices and Payment Terms
7.1 The use of basic features of the Connexxa app is free of charge (freemium model). Advanced features (e.g., premium features, increased visibility, AI agents) are subject to a fee and are specified in the respective offers.
7.2 The use of the EMO platform by organizers is license-based (SaaS model). Applicable prices are determined by the current price list or individual agreements.
7.3 For successful placements (e.g., in the areas of recruiting, investment, or sales), a success-based fee (Success Fee) may be charged in accordance with a separate agreement.
7.4 All prices are stated in Swiss Francs (CHF) and, unless otherwise indicated, exclude value-added tax.
7.5 Invoices are payable within 30 days of the invoice date. In the event of late payment, Connexxa is entitled to restrict or suspend access to paid services.
7.6 Connexxa reserves the right to adjust prices with 30 days' notice for the next billing period. In the event of significant price increases, the user has an extraordinary right of termination.
8. Contract Term and Termination
8.1 The usage agreement for free services is concluded for an indefinite period and may be terminated at any time without notice by deleting the account.
8.2 Paid subscriptions (EMO licenses, Connexxa App Premium) have the minimum term agreed at the time of contract conclusion. They are automatically renewed for the same period unless terminated with 30 days' notice before the end of the respective term.
8.3 The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular in the event of: (a) a serious violation of these Terms, (b) payment default of more than 30 days, (c) insolvency or bankruptcy proceedings of the contracting party.
8.4 Upon termination, personal data will be deleted in accordance with data protection regulations. An export of personal data is possible before the end of the contract and should be requested in a timely manner.
8.5 Fees already paid for the current billing period will not be refunded upon ordinary termination.
9. Ticketing and Payment Processing for Events
9.1 When purchasing tickets through the platform, the contract is concluded directly between the participant and the organizer. Connexxa acts as an intermediary and is not a party to the ticket purchase.
9.2 The displayed ticket prices are set by the organizer. Any service or processing fees charged by Connexxa are transparently disclosed.
9.3 Payment processing is handled through certified payment service providers. Connexxa does not store credit card or bank data of users.
9.4 Cancellations and refunds are governed by the terms of the respective organizer. Connexxa forwards refunds on behalf of the organizer but is not liable for their execution.
9.5 In the event of cancellation or material change of an event by the organizer, the participant is entitled to a refund of the ticket price from the organizer.
10. Data Protection
10.1 The protection of personal data is of central importance to Connexxa. The collection, processing, and use of personal data is carried out in accordance with the separate Privacy Policy, the Swiss Data Protection Act (nDSG), and, where applicable, the EU General Data Protection Regulation (GDPR).
10.2 Organizers receive access to participant data only to the extent necessary for the execution of the event. Any further use, particularly for advertising purposes, requires the express consent of the affected users.
10.3 Matching data and profile information are only shared with other users or organizers with the express consent of the relevant users.
10.4 Detailed information can be found in our Privacy Policy at connexxa.ch/privacy.
11. Disclaimer of Warranties
11.1 All services, platforms, and features of Connexxa are provided «as is» and «as available», without express or implied warranties of any kind.
11.2 Connexxa makes no guarantee or warranty whatsoever regarding: (a) the uninterrupted, error-free, or secure availability of the services, (b) the accuracy, completeness, or timeliness of content, data, or features, (c) the fitness of the services for a particular purpose, (d) the achievement of specific results or goals through the use of the platform, (e) the error-free functioning of individual features such as check-in, matching, ticketing, or notifications.
11.3 No commitments are made regarding response times, completion dates, delivery deadlines, or timelines. Any time estimates mentioned are non-binding and do not give rise to any claims.
11.4 This disclaimer of warranties applies without restriction and regardless of whether the services are provided free of charge or for a fee, whether they are delivered as part of a paid or unpaid project, a trial phase, a pilot operation, or a commercial contract.
11.5 The disclaimer of warranties applies equally to new developments, extensions, updates, upgrades, bug fixes, patches, and any other modifications or adjustments to the services.
12. Limitation of Liability and Risk Exclusion
12.1 The liability of Connexxa is excluded to the maximum extent permitted by law. Connexxa is not liable for indirect damages, consequential damages, lost profits, data loss, business interruptions, loss of revenue, missed business opportunities, or reputational damage.
12.2 Connexxa is not liable for damages, losses, additional expenses, or costs arising from: (a) errors, failures, or malfunctions of the platform, the app, or individual features (e.g., faulty check-in, failed matching, undelivered notifications), (b) data loss, faulty data processing, or incomplete data transmission, (c) security incidents, unauthorized access, or cyberattacks, (d) the use or non-use of AI-powered recommendations, (e) incompatibilities with third-party systems, devices, or software, (f) actions, omissions, or content of users, organizers, or third-party providers.
12.3 Connexxa assumes no liability for additional efforts, extra costs, or organizational expenses incurred by the user or organizer due to errors or limitations of the platform. This includes, but is not limited to: manual rework due to faulty check-in, additional staffing costs, costs for alternative solutions or workarounds, delays in event proceedings, and any consequential costs.
12.4 All risks associated with the use of the platform and services are borne exclusively by the user or organizer. Connexxa merely provides a technical platform. The responsibility for the deployment, organization, and safeguarding of all related processes lies entirely with the user or organizer.
12.5 The aforementioned liability exclusions and risk limitations apply regardless of whether the services are provided free of charge or for a fee. They apply equally to: (a) free and paid services, (b) paid and unpaid projects or assignments, (c) individually agreed feature extensions or customizations, (d) regular updates, upgrades, and maintenance work, (e) trial phases, pilot projects, and beta versions, (f) any other form of service delivery by Connexxa.
12.6 Connexxa owes no compensation, no damages, and no refunds for losses, disadvantages, or expenses arising from the use or non-use of the services. No claims for reduction, subsequent performance, or substitute performance exist, to the extent permitted by law.
12.7 To the extent liability is mandatory by law (e.g., in cases of intent or gross negligence), such liability is limited to direct, foreseeable damages and in any case capped at the amount the user has paid to Connexxa in the 12 months preceding the damage-causing event, and for free services capped at CHF 100.
12.8 The above liability limitations and exclusions also apply in favor of the officers, employees, representatives, vicarious agents, contractors, and affiliated companies of Connexxa.
13. Indemnification
13.1 The user indemnifies Connexxa, its officers, employees, and vicarious agents from all third-party claims arising from an unlawful use of the services by the user or a violation of these Terms.
13.2 This includes, in particular, the assumption of reasonable costs of legal defense (including court and attorney fees).
13.3 Organizers additionally indemnify Connexxa from all claims arising in connection with the execution, cancellation, or modification of their events.
13.4 The indemnification obligation also covers claims resulting from improper or non-intended use of the platform by the user or organizer.
14. Code of Conduct and Community Guidelines
14.1 Connexxa promotes a respectful and professional interaction on the platform. All users are obligated to adhere to the principle of mutual respect.
14.2 Harassment, discrimination, stalking, or inappropriate behavior towards other users will not be tolerated and may result in immediate account suspension.
14.3 The Connexxa app includes safety features (e.g., report function, anti-spam AI). Users are encouraged to report violations.
14.4 Connexxa reserves the right to take sanctions for violations of the code of conduct, including warnings, restrictions, temporary or permanent suspension.
15. Amendments to Terms and Services
15.1 Connexxa reserves the right to amend these Terms at any time. Changes will be communicated to users at least 30 days before they take effect, by email or via the platform.
15.2 If the user does not object to the amended Terms within 30 days of receipt of the notification, the amended Terms are deemed accepted. Connexxa will inform the user of this legal consequence in the amendment notification.
15.3 In the event of an objection, both parties have an extraordinary right of termination.
15.4 Connexxa is entitled to further develop, supplement, or restrict the services, provided this is reasonable for the user and does not impair the essential contractual obligations.
16. Final Provisions
16.1 Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of laws provisions.
16.2 The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is St. Gallen, Switzerland. Mandatory statutory places of jurisdiction remain reserved.
16.3 Should individual provisions of these Terms be or become invalid or unenforceable, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the invalid provision.
16.4 The transfer of rights and obligations under the usage agreement by the user requires the prior written consent of Connexxa.
16.5 No oral collateral agreements exist. Amendments and supplements require text form.
16.6 These Terms are drafted in German. In the event of discrepancies between the German version and any other language version, the German version shall prevail.
